4. Quotes, Proposals, and Agreements

Project-specific timelines, deliverables, pricing, payment schedules, and ownership rights shall be governed by the applicable agreement between CloverForge and the client.

In the event of any conflict between these Terms and a signed client agreement, the signed agreement shall prevail.

5. Payments and Billing

Clients agree to pay all fees specified in applicable invoices, proposals, quotations, or agreements.

Invoices must be paid according to the payment schedule stated in the relevant agreement or invoice.

CloverForge reserves the right to suspend work, withhold deliverables, or restrict access to services if payments become overdue.

Ownership of project deliverables shall not transfer until all outstanding payments have been received in full.

6. Client Responsibilities

Clients are responsible for providing accurate information, content, approvals, credentials, and feedback necessary for project completion.

Project timelines may be extended where delays are caused by the client.

Clients are responsible for maintaining the security of accounts, credentials, and third-party services under their control.

7. Change Requests and Scope Changes

Requests for work outside the agreed project scope shall be considered change requests.

Change requests may result in revised pricing, timelines, deliverables, or project schedules.

CloverForge reserves the right to accept, reject, or re-estimate additional work requests.

8. Intellectual Property

Unless otherwise stated, all content on the website including branding, logos, designs, text, graphics, software, source code, documentation, and related materials are owned by CloverForge or its licensors and are protected by applicable intellectual property laws.

Users may not reproduce, distribute, modify, sell, publish, or exploit any content without prior written permission.

9. Ownership of Products and Projects

CloverForge develops both internal products and commissioned client projects.

Internal products, including associated branding, source code, trademarks, assets, documentation, and intellectual property, remain the property of CloverForge unless otherwise stated.

Ownership of commissioned client work shall be governed by the applicable agreement between CloverForge and the client.

10. Portfolio Rights

Unless otherwise agreed in writing, CloverForge may display completed projects, publicly accessible deliverables, screenshots, designs, branding elements, and related work in portfolios, case studies, marketing materials, and promotional content.

11. Third-Party Software and Services

Projects and services may incorporate third-party software, APIs, hosting providers, open-source frameworks, libraries, and external services.

Such components remain subject to their respective licenses, terms, and policies.

CloverForge is not responsible for outages, changes, or failures caused by third-party providers.

12. Product-Specific Terms

Certain CloverForge products may maintain separate Terms and Conditions, Privacy Policies, or additional legal documentation.

Where applicable, such product-specific terms shall govern use of that product.

13. User Conduct

Users agree not to:

  • Violate applicable laws or regulations
  • Attempt unauthorized access to systems or data
  • Disrupt or interfere with website operations
  • Upload malicious code or harmful content
